Terms of Service

These Terms of Service ("Terms") govern your use of Sui Wallet Desktop (the "Wallet") and the website at suiwallet.net (the "Website"), provided by Wallet Connections LLC ("Wallet Connections LLC," "we," "us," or "our"). By using the Wallet or Website, you agree to these Terms.

1. Self-custody — your responsibility

Sui Wallet Desktop is a non-custodial, self-hosted application. When you use the Wallet:

  • You control your private keys. They are stored locally on your device, encrypted by your operating system. We have no access to them.
  • You are solely responsible for the security of your seed phrase. If you lose your seed phrase, we cannot help recover your funds.
  • You are solely responsible for your transactions. Once a transaction is signed and broadcast to the Sui blockchain, it cannot be reversed.
  • You are solely responsible for verifying transaction details. Always double-check addresses, amounts, and gas before confirming.

We provide the software; you operate it. We have no ability to recover lost wallets, reverse transactions, or freeze accounts.

2. License (MIT open-source)

Sui Wallet Desktop's source code is licensed under the MIT License. The full text of the MIT License is included in the source repository at github.com/sui-wallet-dev/desktop.

You may use, modify, and distribute the source code subject to the MIT License. Use of the official binaries distributed via suiwallet.net is governed by both the MIT License (for the underlying code) and these Terms (for the binary distribution and the Website).

3. No warranty

The Wallet and Website are provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Wallet will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Wallet will be accurate or reliable
  • The quality of any wallet experience will meet your expectations
  • Any errors in the Wallet will be corrected

4. Limitation of liability

To the maximum extent permitted by applicable law, Wallet Connections LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with the Wallet or Website, including but not limited to:

  • Loss of cryptocurrency or digital assets
  • Loss of seed phrase, private keys, or wallet access
  • Loss caused by user error in transaction signing
  • Loss caused by smart contract vulnerabilities in third-party protocols (e.g., DeepBook, Haedal)
  • Loss caused by phishing, social engineering, or compromised devices
  • Loss caused by changes to the Sui blockchain or its protocols
  • Network outages, hardware failures, or third-party service failures

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

5. No financial advice

Sui Wallet Desktop is software. Information provided in the Wallet or on the Website (including APY displays, validator data, token unlock schedules, comparison content) is for informational purposes only and does not constitute financial, investment, legal, or tax advice. Consult qualified professionals for advice specific to your situation.

6. Risk acknowledgment

You acknowledge that:

  • Cryptocurrency is volatile. SUI and other digital assets may fluctuate significantly in value.
  • Self-custody carries irreversible risks. Lost seed phrases, signed transactions, and compromised devices may result in permanent loss of funds.
  • DeFi protocols carry smart-contract risk. Interacting with DeepBook, Haedal, or any other Sui DeFi protocol involves risk that the protocol's code may have vulnerabilities.
  • Validator behavior can affect rewards. Validator downtime reduces staking rewards.
  • Regulatory landscape is evolving. Cryptocurrency regulations vary by jurisdiction and change over time.

You assume all risks associated with using cryptocurrency and the Sui blockchain.

7. Acceptable use

You agree not to:

  • Use the Wallet for illegal purposes
  • Attempt to interfere with the Wallet's operation or security
  • Reverse-engineer compiled binaries beyond what's permitted by the MIT License (note: source is open, so reverse engineering is unnecessary)
  • Use the Wallet to conduct transactions that violate applicable law or sanctions
  • Misrepresent yourself as Wallet Connections LLC or affiliated with us
  • Use the Wallet brand assets in ways that imply false endorsement

8. Intellectual property

The Wallet's source code is licensed under MIT (see Section 2). The "Sui Wallet Desktop" name, logo, and brand assets are trademarks/trade dress of Wallet Connections LLC. Use of brand assets is permitted for editorial coverage as described in /press but not for commercial use without permission.

The Sui name and related marks are owned by their respective trademark holders. Sui Wallet Desktop is software for the Sui blockchain; no affiliation, endorsement, or partnership with Sui blockchain trademark holders is implied.

9. Third-party services

The Wallet may integrate with third-party services including (but not limited to):

  • Sui blockchain RPC nodes
  • Hardware wallet services (Ledger)
  • DeFi protocols (DeepBook, Haedal)
  • OAuth providers for zkLogin (Google, Apple, Facebook)

Your use of third-party services is governed by their respective terms. We are not responsible for third-party service availability or behavior.

10. Modifications to the Wallet

We may update Sui Wallet Desktop from time to time. Updates may add, modify, or remove features. We are not obligated to maintain any specific feature.

11. Termination

You may stop using the Wallet at any time. Your wallet data remains under your control regardless of whether you continue using Sui Wallet Desktop — your seed phrase recovers your wallet on any compatible Sui wallet software.

We may discontinue Sui Wallet Desktop at our discretion. Because Sui Wallet Desktop is open-source under MIT and your wallet recovery is via standard Sui derivation paths, discontinuation does not affect your access to your funds — you can recover your wallet on any other Sui-compatible wallet using your seed phrase.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Wallet Connections LLC and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of the Wallet or breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any disputes arising from these Terms or your use of the Wallet shall be resolved in the state or federal courts located in Florida.

14. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

15. Entire agreement

These Terms, together with the Privacy Policy at /privacy, constitute the entire agreement between you and Wallet Connections LLC regarding the Wallet and Website.

16. Changes to Terms

We may update these Terms from time to time. The "Effective date" at the top reflects the current version. Material changes will be communicated via @suiwallet_dev on X and via the Website.
